Company does not make any express or implied representations or warranties, including but not limited to any warranty of merchantability or fitness for a particular purpose with respect to the Program. This AGREEMENT, is between Americare Services, Inc., (the Company), and the enrolled person (Client) with respect to Clients enrollment in the Company electronic medical record storage and/or telephonic physician consultant services, as selected by Client (the Program), on the date agreed to by the parties. In consideration of these premises and the mutual promises and covenants hereinafter contained, Company and Client, each intending to be legally bound hereby, agree as follows:

Section 1. Companys Obligations. Company shall provide the Program to Client so long as Client pays the fees agreed to in connection with the Program. Client shall enroll in the Program and register with Company in the manner prescribed by Company. Client shall continue to have access to the Program until Client terminates his or her membership in the Program, or Company or Client terminates such membership as permitted under this Agreement. The Program encompasses the services described by Company in its enrollment materials.

Section 2. Clients Obligations. Client shall pay Company the fees for the Program as set forth in the enrollment materials. Your membership will be processed with your financial institution within the next 24 hours. The one time enrollment fee of $59.00 is non-refundable under any circumstances.

Section 3. Term. The initial term of this Agreement (Initial Term) shall end one (1) year from the effective date of this Agreement. Upon expiration of the Initial Term, this Agreement shall automatically renew for successive one (1) year terms (each a Renewal Term) unless written notice is given at least ninety (90) days prior to the effective date of any Renewal Term.

Section 4. Amendment. This Agreement shall automatically terminate upon the liquidation, dissolution, cessation of business or the filing of a bankruptcy petition by or against either party. Upon termination of this Agreement for any reason, Client shall pay Company for all services rendered through the effective date of termination. This Agreement may only be amended from time to time by a writing signed by both parties. No waiver by Client or Company of any provision herein, shall operate as a waiver of any other provision or the same provision on a future occasion

Section 5. Limitation of Liability. Company shall have no liability whatsoever for any indirect, consequential, exemplary, special, incidental or punitive damages. Company liability to Client for any reason and upon any cause of action, whether tort, contract, statute or any other legal theory whatsoever, shall be at all times and in the aggregate be limited to the lesser of (a) $1,000, or (b) the amount of compensation actually paid by Client to Company during the three (3) month period immediately preceding the month in which the event upon which the liability is predicated.

Section 6. Assignment. The rights and obligations of the assigning party under this Agreement shall not be assigned to any other individual, firm, corporation, association or other entity without the prior written approval of the non-assigning party, which approval shall not be unreasonably withheld, delayed or conditioned; provided that nothing contained in this Agreement shall prevent assignment or be deemed assignment of this Agreement in connection with the merger, sale of capital stock or sale of all or substantially all of the assets of Company.

Section 7. Disclaimer. Company does not make any express or implied representations or warranties, including but not limited to any warranty of merchantability or fitness for a particular purpose with respect to the Program. Two FREE doctor consultations per year are included for CallMD Ultimate members and one FREE doctor consultation is included for CALLMD 24/7 members. Members will be charged $35 fee for every additional doctor consultation. Doctors’ consultation fees incurred during this period cannot be refunded. CallMD and CallMD Ultimate are not health insurance products.

The benefit services are effective immediately after enrollment. You will receive your membership ID via your email address or U.S postage within 5 days of your enrollment date. Savings given through the provider contracts vary depending on procedure and location. If you currently have health insurance, we encourage you not to drop your current coverage unless you have done a complete comparison of benefits. Your membership renews automatically by continuing the payment of the monthly dues. There is no renewal fee. You may cancel your membership by U.S mail or by calling our customer service department Monday through Friday, 8am to 5pm Central Standard Time at phone number 888-212-4597 and your membership and billing will cease. This document contains the entire Agreement of the parties. It supersedes any and all prior agreements, understandings or representations, whether oral or written. Neither party shall be responsible for delays in performance due to strikes, riots, acts of God, shortages of labor or materials, war, governmental laws, regulations, or restrictions, transportation conditions, product/service suppliers or any other causes whatsoever that are beyond the reasonable control of Company. This Agreement shall be interpreted exclusively according to the laws of the State of Florida without regard to its conflicts of laws principles. Any paragraph titles or captions contained in this Agreement are for convenience only and shall not be deemed part of the context of this Agreement. Except as set forth herein, the parties hereto do not intend to confer any rights or remedies upon any person other than the parties named below.

THIS NOTICE DESCRIBES HOW MEDICAL INFORMATION ABOUT YOU MAY BE USED AND DISCLOSED AND HOW YOU CAN GET ACCESS TO THIS INFORMATION. PLEASE REVIEW IT CAREFULLY.

CallMD’s Commitment to Your Privacy

CallMD is dedicated to maintaining the privacy of your Protected Health-Related Information (PHRI). PHRI is information about you that may be used to identify you (such as your name, Social Security Number or address), and that relates to: (a) your past, present or future physical or mental health or condition, (b) the provision of health care to you, or (c) your past, present or future payment for the provision of health care. In conducting its business, CallMD will receive and create records containing your PHRI. CallMD is required by law to maintain the privacy of your PHRI and to provide you with notice of its legal duties and privacy practices with respect to your PHRI.

CallMD must abide by the terms of this Notice while it is in effect. This current Notice takes effect on August 14, 2013, and will remain in effect until CallMD replaces it. CallMD reserves the right to change the terms of this Notice at any time as long as the changes are in compliance with applicable law. If CallMD changes the terms of this Notice, the new terms will apply to all PHRI that it maintains, including PHRI that was created or received before such changes were made. If CallMD changes this Notice, it will post the new Notice on its website and make the new Notice available upon request.

Uses and Disclosures of PHRI

CallMD may use and disclose your PHRI in the following ways:

  1. Treatment, Payment and Health Care Operations. CallMD is permitted to use and disclose your PHRI for purposes of (a) treatment, (b) payment and (c) health care operations. For example:
    • Treatment. CallMD may disclose your PHRI to another physician or health care provider for purposes of a consult or in connection with the provision of follow-up treatment.
    • Payment. CallMD may use and disclose your PHRI to your health insurer or health plan in connection with the processing and payment of claims and other charges.
    • Health Care Operations. CallMD may use and disclose your PHRI in connection with its health care operations, such as providing customer services and conducting quality review assessments. CallMD may engage third parties to provide various services for CallMD. If any such third party must have access to your PHRI in order to perform its services, CallMD will require that third party to enter an agreement that binds the third party to the use and disclosure restrictions outlined in this Notice.
  2. Authorization. CallMD is permitted to use and disclose your PHRI upon your written authorization, to the extent such use or disclosure is consistent with your authorization. You may revoke any such authorization at any time.
  3. As Required by Law. CallMD may use and disclose your PHRI to the extent required by law.

Special Circumstances

The following categories describe unique circumstances in which CallMD may use or disclose your PHRI:

  1. Public Health Activities. CallMD may disclose your PHRI to public health authorities or other governmental authorities for purposes including preventing and controlling disease, reporting child abuse or neglect, reporting domestic violence, and reporting to the Food and Drug Administration regarding the quality, safety and effectiveness of a regulated product or activity. CallMD may, in certain circumstances, disclose PHRI to persons who have been exposed to a communicable disease or may otherwise be at risk of contracting or spreading a disease or condition.
  2. Workers’ Compensation CallMD may disclose your PHRI as authorized by, and to the extent necessary to comply with, workers’ compensation programs and other similar programs relating to work-related illnesses or injuries.
  3. Health Oversight Activities. CallMD may disclose your PHRI to a health oversight agency for authorized activities such as audits, investigations, inspections, licensing and disciplinary actions relating to the health care system or government benefit programs.
  4. Judicial and Administrative Proceedings. CallMD may disclose your PHRI, in certain circumstances, as permitted by applicable law, in response to an order from a court or administrative agency, or in response to a subpoena or discovery request.
  5. Law Enforcement. CallMD may, under certain circumstances, disclose your PHRI to a law enforcement official, such as for purposes of identifying or locating a suspect, fugitive, material witness or missing person.
  6. Decedents CallMD may, under certain circumstances, disclose PHRI to coroners, medical examiners and funeral directors for purposes such as identification, determining the cause of death, and fulfilling duties relating to decedents.
  7. Organ Procurement. CallMD may, under certain circumstances, use or disclose PHRI for the purposes of organ donation and transplantation.
  8. Research. CallMD may, under certain circumstances, use or disclose PHRI that is necessary for research purposes.
  9. Threat to Health or Safety. CallMD may, under certain circumstances, use or disclose PHRI if necessary to prevent or lessen a serious and imminent threat to the health or safety of a person or the public.
  10. Specialized Government Functions. CallMD may, in certain situations, use and disclose PHRI of persons who are, or were, in the Armed Forces for purposes such as ensuring proper execution of a military mission or determining entitlement to benefits. CallMD may also disclose PHRI to federal officials for intelligence and national security purposes.

Your Rights Regarding Your PHRI

You have the following rights regarding the PHRI maintained by CallMD:

  1. Confidential Communication. You have the right to receive confidential communications of your PHRI. You may request that CallMD communicate with you through alternate means or at an alternate location, and CallMD will accommodate your reasonable requests. You must submit your request in writing to CallMD.
  2. Restrictions. You have the right to request restrictions on certain uses and disclosures of PHRI for treatment, payment or health care operations. You also have the right to request that CallMD restrict its disclosures of PHRI to only certain individuals involved in your care or the payment of your care. You must submit your request in writing to CallMD. CallMD is not required to comply with your request. However, if CallMD agrees to comply with your request, it will be bound by such agreement, except when otherwise required by law or in the event of an emergency.
  3. Inspection and Copies. You have the right to inspect and copy your PHRI. You must submit your request in writing to CallMD. CallMD may impose a fee for the costs of copying, mailing, labor and supplies associated with your request. CallMD may deny your request to inspect and/or copy your PHRI in certain limited circumstances. If that occurs, CallMD will inform you of the reason for the denial, and you may request a review of the denial.
  4. Amendment. You have the right to request that CallMD amend your PHRI if you believe it is incorrect or incomplete, and you may request an amendment for as long as the information is maintained by CallMD. You must submit your request in writing to CallMD and provide a reason to support the requested amendment. CallMD may, under certain circumstances, deny your request by sending you a written notice of denial. If CallMD denies your request, you will be permitted to submit a statement of disagreement for inclusion in your records.
  5. Accounting of Disclosures. You have the right to receive an accounting of all disclosures CallMD has made of your PHRI. However, that right does not include disclosures made for treatment, payment or health care operations, disclosures made to you about your treatment, disclosures made pursuant to an authorization, and certain other disclosures. You must submit your request in writing to CallMD and you must specify the time period involved (which must be for a period of time less than six years from the date of the disclosure). Your first accounting will be free of charge. However, CallMD may charge you for the costs involved in fulfilling any additional request made within a period of 12 months. CallMD will inform you of such costs in advance, so that you may withdraw or modify your request to save costs.
  6. Paper Copy. You have the right to obtain a paper copy of this Notice from CallMD at any time upon request. To obtain a paper copy of this notice, please contact CallMD by calling 1-888-381-8220.
  7. Complaint. You may complain to CallMD and to the Secretary of the Department of Health and Human Services if you believe that your privacy rights have been violated. To file a complaint with CallMD, you must submit a statement in writing to:
